You need to do this upgrade in two steps 3.10 to 3.7 and then 3.7 to NAV 2009, and on partnersource you can find the corresponding upgrade toolkit.
There is a good post on www.mibuso.com by author : ara3n for these 2 stage upgrades, hope you will find that useful. I will post its link later.
