Is there any tools to upgrade from Ax 2009 to Dynamics 365 ?

There is no direct upgrade path; you have to upgrade to AX 2012 first. Again, you can learn about the upgrade process to Dynamics 365 for Finance and Operations in documentation: Code migration and upgrade home page.
