We are about to upgrade our dynamics 2009 to 2012 but stuk on some licensing issue, could someone give me a brief differentiate between enterprise user and functional user.

The only difference that Enterprise users are allowed to use some menu items that Functional users are not. The list would be pretty long.

I have no idea which part of AX you’re interested in. To give you an example anyway, you need enterprise CAL to create new main accounts.
The best place to look at is the list of menu items on PartnerSource, but you can also use the Security Development Tool or check the ViewUserLicense and MaintainUserLicense property on menu items by yourself.
